Article 1 — Scope and status
1.1 This Addendum sets out the country-specific provisions that apply to organisations established in Sri Lanka that join the iTraceiT programme for the Sri Lanka region. It is a "specific addendum" within the meaning of the Preamble of the GTC and forms part of the Agreement.
1.2 In case of conflict, the order of priority set out in the Preamble of the GTC applies: the Order Form, including any Special Conditions and this Addendum, prevails over the GTC. The DPA prevails on data protection matters. This Addendum contains no prices. The prices you pay on joining (membership, Platform subscription fee and any top-up you choose) are those of the Order Summary you accept at checkout, which forms part of the Agreement and is recorded with the evidence of your acceptance. Usage charges are shown in your account area before any spend and apply as displayed at the time of the operation (GTC Articles 3.7 and 3.8). Price changes follow GTC Article 13.2 and never affect amounts already paid.
1.3 Capitalised terms not defined in this Addendum have the meaning given to them in the GTC.
Article 2 — Who you contract with
2.1 Your Agreement is with iTraceiT srl, Rue de Rodeuhaie 4, 1348 Louvain-la-Neuve, Belgium (VAT BE 0770.300.358).
2.2 Way Out Solutions (Private) Limited introduces, onboards and supports you locally, as a subcontractor of iTraceiT within the meaning of GTC Article 13.3. It cannot agree prices, bind iTraceiT or accept liability on its behalf.
Article 3 — What you are buying
3.1 One payment, two parts: membership of the programme for a fixed term, and your first twelve (12) months on the Platform at a reduced subscription fee, both shown in the Order Summary. Neither part is available on its own: a member without an active Platform subscription has no full member profile and cannot record a transfer.
Article 4 — How long it lasts
4.1 Where cleared funds for the joining payment are received on or before 31 December 2026, the initial membership term is five (5) years from activation (founding members). Where cleared funds are received on or after 1 January 2027, the initial membership term is three (3) years from activation.
4.2 At the end of the initial term, whether of five or of three years, and at the end of each renewal term, the membership renews for a further term of three (3) years, at the membership fee in force on the renewal date, unless either Party gives written notice of non-renewal at least sixty (60) days before the end of the current term. iTraceiT notifies the membership fee applicable on renewal at least ninety (90) days before the end of the term. This applies in place of the renewal duration and notice period stated in GTC Article 4.2.
4.3 The Platform subscription renews annually from month thirteen, in accordance with GTC Article 4.2, unless either Party gives written notice of non-renewal at least thirty (30) days before the end of the current year.
Article 5 — One status
5.1 Everyone admitted holds the same status, Founding Member. There is no numbering and no ordering. Three roles describe participation (Representative, Contributor, Ambassador); none carries a price difference.
Article 6 — Payment
6.1 Prices are published in Sri Lankan rupees (LKR) at a fixed programme reference rate, reviewed periodically rather than daily. Fees are charged in euro unless the Order Form states otherwise, and both amounts are shown before you pay; the amount charged governs (GTC Articles 3 and 3.7).
6.2 Payment is by card or PayPal. PayPal lets a local debit card settle a euro payment, where a direct card charge often fails because domestic cards are not enabled for foreign-currency commerce.
6.3 Your membership activates when funds clear, never when a payment is initiated, and the date on which funds clear determines your initial term (GTC Article 3.2).
Article 7 — Refunds
7.1 By way of derogation from GTC Article 3.6, you are entitled to a full refund of the joining payment if you ask for it within fourteen (14) days of your funds clearing, provided your profile has not been published and you have recorded no transfer.
7.2 If iTraceiT declines your application (for example a licence that cannot be verified, documents not produced, or profile content refused and not corrected), the joining payment is refunded in full. No one is admitted, and no profile is published, before document verification.
7.3 Where the joining payment is refunded under this Article, the unused starting balance is cancelled.
Article 8 — Prepaid balance and recording fees, in rupees
8.1 For the Sri Lanka region, your prepaid balance and every usage charge are expressed, credited and debited in Sri Lankan rupees (LKR) only, never in Credits or any other unit. The prepaid balance takes the place of the Support Credits wallet described in GTC Article 6; every reference in the GTC or the Service Description to Credits, a Credit allowance, credit packages or a credit balance is to be read, for the Sri Lanka region, as a reference to the prepaid balance in LKR. Top-ups are shown in LKR in the Order Summary or in your account area before you buy them.
8.2 Recording fees are charged per stone recorded beyond the volume included in your category, weighted by the weight of each individual stone. You are never asked to declare a value, and no declared value enters any calculation.
8.3 Recording fees, per-event outputs and support interventions are settled from the prepaid balance. Before any debit, the Platform shows the amount in LKR and asks for your confirmation (GTC Article 6.4). Nothing proceeds if the balance is insufficient, so you never receive an unexpected invoice.
8.4 Stones sent out for cutting or treatment and returned to you are recorded once and charged once.
Article 9 — Your profile
9.1 Your public profile is published only with your explicit consent, given separately, and you may withdraw that consent at any time. Profiles are reviewed before publication.
9.2 You keep ownership of what you write (GTC Article 7.2). iTraceiT records declarations; it does not verify commercial claims (GTC Article 5.1).
9.3 If your subscription lapses, your entry is reduced to your name, segment, district and Founding Member status.
Article 10 — Licences
10.1 You confirm that you hold the licences your activity requires (GTC Article 10.2).
10.2 Membership is not a licence, an approval or an endorsement, and does not relieve you of any obligation towards the National Gem and Jewellery Authority (NGJA) or Sri Lanka Customs.
10.3 No output of the Platform is a certificate of origin or a gemmological certificate.
Article 11 — Your data
11.1 iTraceiT processes personal data in accordance with GTC Article 8 and the DPA. Operational data is hosted in the European Economic Area (DPA Article 7.1) until the programme is live; it is then hosted on the Sri Lanka Government Cloud where the programme authority requires it, after at least thirty (30) days' prior written notice (DPA Articles 6.2 and 7.4).
11.2 Processing complies with the GDPR and with the Personal Data Protection Act No. 9 of 2022 of Sri Lanka, as amended in 2025; where the two differ, the higher standard of protection applies.
11.3 Way Out Solutions (Private) Limited acts as a sub-processor (DPA Article 6) and may access data remotely only as provided in DPA Article 7.2.
11.4 Commercial data (counterparties, prices, margins) is never shared with the programme authority unless you instruct it.
Article 12 — Anchoring to the ledger
12.1 Anything you anchor to the blockchain leaves iTraceiT's systems permanently and cannot be deleted, including if you leave (GTC Article 5.5).
12.2 Anchoring never happens automatically, only on your explicit instruction, category by category. You must not anchor personal data (GTC Article 5.5).
Article 13 — Languages
13.1 The English version of this Addendum and of the other documents forming the Agreement is the only authoritative version. Sinhala and Tamil versions are provided for convenience, have been locally reviewed, and have no contractual effect.
Article 14 — Governing law and disputes
14.1 This Addendum and the Agreement are governed by Belgian law, excluding its conflict-of-law provisions. Any dispute arising out of or in connection with them that the Parties cannot resolve by good-faith negotiation within thirty (30) days is submitted to the exclusive jurisdiction of the competent courts of Nivelles (Brabant Wallon), Belgium, in accordance with GTC Article 13.7.
